Effective Date: 1st January 2025

These Terms of Service (“Terms”) govern the relationship between OptimoSolutions Inc. (“we,” “us,” or “our”) and our clients (“you,” “your”) when you purchase or use any of our AI development, automation, or management services. By engaging Optimo, signing a proposal, or paying an invoice, you agree to these Terms.

1. About Optimo

Optimo is a Dubai-based AI agency providing intelligent automation, AI voice and chat services, and ongoing system management for businesses worldwide.
We design, build, and manage AI-powered solutions that help organizations automate customer communication, improve efficiency, and scale intelligently.

2. Scope of Services

All projects and services are outlined in your individual proposal, quote, or statement of work (SOW). 
Our services may include: 

  • AI automation design and development 
  • AI chatbot and voice assistant creation 
  • Workflow integration and optimization 
  • Monthly AI performance management and analytics 

3. Fees and Payment Terms

3.1 One-Time Setup Fee

Each project includes a one-time setup or implementation fee that covers research, development, integration, and initial delivery. The setup cost varies depending on project complexity.

3.2 Monthly Management Fee

After launch, Optimo may provide ongoing AI management and optimization services billed as a recurring monthly management fee. This includes model tuning, maintenance, and system improvements.

3.3 Payment Terms 

Invoices are payable as per your agreement or proposal. Services may be paused for late or incomplete payments. 

3.4 Taxes and Charges 

All prices are quoted exclusive of VAT, government levies, or international transfer fees. You are responsible for any applicable taxes in your jurisdiction. 

  1. Intellectual Property and Deliverables

4.1 Client Materials 

You retain ownership of all data, branding, and content you provide for your project. 

4.2 Deliverables 

Upon full payment, you receive a non-exclusive license to use all completed deliverables for your internal business use. 

4.3 Optimo IP 

Optimo retains all rights to its proprietary frameworks, software scripts, AI models, design systems, and methodologies used to create your solution. These cannot be reused, resold, or replicated for competing services. 

  1. Data Security and Confidentiality

Both parties agree to protect all shared business and technical information. 
Optimo follows UAE and international data protection best practices to ensure the privacy and confidentiality of your information. Any customer data shared during project development will not be reused or disclosed without written consent. 

  1. Compliance and Legal Use

You agree to use all AI systems provided by Optimo in accordance with local and international regulations, including: 

  • UAE Federal Data Protection Law No. 45 of 2021 
  • Dubai Data Law 
  • Cabinet Resolutions No. 56 and 57 of 2024 (Telemarketing Regulations and Penalties) 
  • Any applicable laws where your business operates 

You are responsible for obtaining necessary licenses, consents, or approvals for any communication, data collection, or marketing activities conducted through AI tools built by Optimo. 

  1. Service Modifications

Optimo may update, enhance, or modify existing systems to maintain compliance, improve performance, or adapt to technology changes. We will inform you in advance if any updates materially affect your service scope or cost. 

  1. Disclaimers

AI systems rely on data and probabilistic models. While Optimo strives to deliver accurate and reliable outputs, results may vary depending on user inputs, data quality, and external systems. You are responsible for reviewing outputs and making business decisions based on verified data. Optimo does not guarantee specific financial or operational outcomes. 

  1. Limitation of Liability

Except in cases of proven negligence, fraud, or data misuse, Optimo’s total liability for any claim in a 12-month period is limited to the total amount paid by you for services during that same period. Optimo is not responsible for indirect, consequential, or incidental damages such as loss of profit, data, or business opportunities. 

  1. Termination

Either party may terminate services by providing thirty (30) days’ written notice. If terminated early, all unpaid invoices and project balances become immediately due. After payment, Optimo will deliver any completed assets or configurations related to your project. 

  1. Publicity and Marketing

Unless otherwise requested in writing, Optimo may reference your brand name, logo, and project overview in its case studies or marketing materials as a demonstration of successful client work. 

  1. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Dubai International Financial Centre (DIFC). Any dispute arising out of these Terms shall be resolved by arbitration seated in Dubai under the DIFC-LCIA Arbitration Centre Rules, in English, before one arbitrator (or three for claims exceeding USD 1,000,000). Either party may seek interim or injunctive relief through the DIFC Courts. 

  1. Entire Agreement

These Terms, together with your proposal or statement of work, form the entire agreement between you and Optimo. They replace any previous understandings or communications regarding the same subject matter. 

Acceptable Use Guidelines 

You agree not to use AI systems created by Optimo to: 

  • Violate laws, privacy regulations, or telemarketing restrictions 
  • Send deceptive, abusive, or unlawful communications 
  • Impersonate others or engage in fraud 
  • Target minors or sensitive individuals without consent 
  • Misuse or resell Optimo-developed systems or frameworks 
  • Interfere with, reverse-engineer, or exploit Optimo’s intellectual property
